* **Lead Bank can freeze, restrict, or close the USD account with broad discretion**, including with little or no advance notice where permitted by law. In practical terms, the bank can shut off access to your dollars first and resolve the dispute afterward.
* **Withdrawals and transfers are conditional, not absolute.** Access to your own cash is subject to Lead’s eligibility rules, transaction limits, compliance controls, and fraud/risk determinations.
* **If Lead closes the account, you may have to wait for your remaining balance to be returned.** The agreement allows Lead to hold funds through closure and return them within a “reasonable period,” rather than guaranteeing immediate access.
* **The default dispute process is mandatory individual arbitration.** Unless you opt out within the limited window, you give up ordinary court litigation for most disputes, cannot bring a class action, and must proceed through JAMS arbitration.
* **Arbitration shifts leverage toward the bank.** Proceedings are private, class claims are barred, fees can include your share of arbitrator costs, and judicial review of an arbitration award is very limited.
* **Even opting out does not fully restore normal legal recourse.** The agreement separately waives jury trial and generally requires court disputes to be brought in Kansas City, Missouri.
* **The burden is on the account holder to notice and act.** If you accept the agreement and miss the arbitration opt-out deadline, the more restrictive dispute process becomes binding by default.
